Services

Five ways we work with clients

We work on both sides of a transaction. Companies and sponsors come to us for capital. Family offices and funds give us their mandates so we can bring them deals that fit.

Fractional CFO

Senior finance leadership for companies preparing for a raise, a transaction or a listing, without a full-time hire. We take on a small number of part-time CFO and management consulting engagements where we can make a measurable difference.

  • Capital structure
  • Financial models & budgets
  • Board & investor reporting
  • Transaction readiness
  • Governance

Part-time or interim, by engagement

Family office structuring

Cross-border holding structures for families and fund managers, established and administered with licensed multi-family office partners in regulated jurisdictions. Includes succession, estate and governance planning.

  • Holding companies
  • Trusts & foundations
  • Fund vehicles (incl. Singapore VCC)
  • Cross-border SPVs
  • Ongoing administration

Managed services from USD 10M in liquid assets

Capital raising

Growth capital, pre-IPO rounds, and mezzanine or convertible facilities for established companies, plus equity for large commercial real estate construction and development projects. We prepare the investor package, pre-qualify investors from our network, co-present where useful, and advise through negotiation to close.

  • Executive summary & deck
  • Valuation model
  • Financial projections
  • Commercial real estate equity
  • Investor introductions

Typical raise: USD 5M and above

Debt financing

Debt sourced from private and institutional family offices, debt funds and lenders, matched to each lender's stated mandate. We work with corporations, family offices, foundations, trusts and investment funds.

  • Working & growth capital
  • Bridge loans
  • Asset-backed & revenue-based
  • Real estate construction
  • Infrastructure
  • Acquisition & LBO financing

Loan sizes: USD 1M – 800M

M&A, private equity and specialty transactions

Buy-side mandates from family offices and private funds seeking income-producing real estate, renewable energy assets and profitable North American businesses, plus pre-IPO secondary positions and fund-of-funds allocations. We also review specialty mandates that fall outside standard categories, case by case.

  • Business acquisitions
  • Income-producing real estate
  • Green & renewable assets
  • Pre-IPO secondaries
  • Listing advisory (CSE, TSX)
  • Specialty transactions

Business acquisitions: EBITDA USD 1M – 5M

How we work

From first call to close

We only refer deals that fit a specific investor's mandate and risk appetite. That selectivity is why our investors keep taking our calls.

Step 1

Intake and KYC

We learn your business, the capital you need and your timeline, and complete a KYC questionnaire.

Step 2

Mandate matching

We compare your profile with the current mandates of family offices, funds and lenders in our network.

Step 3

Investor materials

We prepare or refine your executive summary, deck, model and data room to the standard our investors expect.

Step 4

Introductions

We introduce you to matched investors and co-present where it helps.

Step 5

Negotiation to close

We advise through term negotiation, due diligence and closing.

How we are paid. BlueSeed is generally compensated on a success basis, as an independent referral partner, by the investors or lenders in our network once a transaction is financed. Fractional CFO engagements and some advisory work, such as investor package preparation and fundraising strategy, are done on a retainer.
